Assuming Orion deal closing takes place immediately after the ONSI shareholder meeting on March 20, 1998, the exchange ratio will be based on a Loral price of $24.68652. This price is based on the volume weighted average for the 20 trading days commencing Feb 26 and ending March 6. The exchange ratio would then be .71553.
