They made a significant investment in NETZ. What is considered to be significant? Not disclosed. Is it 50MM or 1MM?? I don't think so. If it was 50MM, then would own NETZ not just have made a significant contribution..

Um, they have already placed a significant investment in NETZ as per the NETZ release... Then they a going to sink $50 mil worth of debentures into NETZ in mid March. I read it as two things: one already done and the other soon to be made.

What the heck makes ESVS think they can raise 50MM?? Based on their financing as presented by Tahoe I think, it would seem difficult to achieve....

One thing I am sure of is that the current ESVS is not generating this kind of cash from its ongoing business. The deal - as it stands, being made by ESVS - as it stands, will dilute their stock 'significantly'. They only have a few mil shares out... The deal would float about 10 mil shares more... No?

There must be some pretty firm hands behind all of this. Too many questions...

Initially looks to me like ESVS has been struggling along with its Multimedia Compression/Digital Video Decompression via its NB Digital Solutions with thoughts about the emerging DVD market .

Then comes along an opportunity to make a killing $$$ by going in with NETZ letting them use their technology for internet- movie -ads for an "equity stake" .

This new alliance needs a strong cash base to expand (and exist until it becomes profitable) so hence the $50mm private placement .

Granted there is a whole lot more to this story than we now know or may ever know . Lair and Mecham are two guys that didn't fall off the turnip truck yesterday though.

Every one needs to stand back and give management some elbow room and watch NETZ grow . Sure NETZ's management has and will make mistakes but I think its investors will be rewarded greatly not too far down the road.
