Vocaltec , Radlinx in merger talks-paper

JERUSALEM, March 10 (Reuters) - Israel's Vocaltec Communications Ltd (VOCLF - news) is conducting merger talks with
privately owned Radlinx, a subsidiary of the Rad Group, the Globes newspaper said on Tuesday.

The merger would entail the allocation of Vocaltec shares to Radlinx shareholders, according to a market valuation of $10 million
to $20 million for Radlinx, the paper said. Vocaltec's market valuation is $186 million.

Vocaltec and Radlinx representatives declined to comment on the report.

The paper said Vocaltec, a maker of Internet telephony software, is looking for a partner in the field of Internet faxing to integrate
the technologies into a complete product line.

Radlinx develops products that integrate fax and e-mail technologies.

Motorola And Inter-Tel To Coordinate IP Telephony Development

PHOENIX, and AUSTIN, Texas, Feb. 17 /PRNewswire/ -- Inter-Tel, Incorporated (Nasdaq: INTL - news) and Motorola, Inc.
(NYSE: MOT - news), Internet Products Operation have signed a Memorandum of Understanding outlining the companies'
intentions to develop standards-based interoperability among their IP Telephony products and to distribute each company's IP
Telephony products. As part of the agreement, Inter-Tel and Motorola intend to jointly develop interfaces for Motorola's VIPR
family of gateways, Inter-Tel Vocal'Net gateways and the Inter-Tel Vocal'Net Call Accounting System (CAS) that will
inter-operate through mutual support of the H.323 standards.

''Completion of these standards-based products will allow Inter-Tel to leverage Motorola's strengths in the IP Telephony
marketplace, to expand the range and capabilities of our Inter-Tel Vocal'Net family of products, and to support a wider spectrum
of IP Telephony applications,'' said Tom Parise, president and chief operating officer for Inter-Tel. ''As a result, we will be able to
offer small end-user organizations up through large, carrier-class service providers, a complete IP Telephony solution.''

In addition to Motorola's and Inter-Tel's development of an H.323 interface for their existing Motorola VIPR and Inter-Tel
Vocal'Net gateways, Inter-Tel intends to develop an H.323 standards-based Gatekeeper to handle IP address resolution,
bandwidth management, call restrictions, call event monitoring and call billing. The Gatekeeper will incorporate the Inter-Tel
Vocal'Net Call Accounting System (CAS), which manages and monitors accounting and billing functions for pre-paid and billed
calling services. As part of the joint development agreement, Inter-Tel also intends to develop an H.323 standard voice-processing
platform to provide IVR functions for pre-paid and billed calling card services.

The Inter-Tel Vocal'Net gateway is available in multiple port sizes to accommodate both corporate end users and IP Telephony
service providers. Inter-Tel Vocal'Net will interact with telephone systems that support standard telecom interfaces such as T-1,
E-1, ISDN, and analog single lines. Calls are placed by simply using a desktop telephone.

Motorola's VIPR line is part of the Vanguard(R) and MPRouter(R) family of products and provides an advanced multiservice
platform. These versatile network access devices provide support of IP telephony, Frame Relay, ISDN, LAN routing, legacy data
protocols, WAN bandwidth optimization and support for either digital or analog PBX/PABX features. Motorola VIPR products are
DSP- based and offer built-in echo cancellation, silence suppression, SNMP management and super scalability from single analog
