There is NO DILLUTION.....what ESVS will be issued is Convertible Preferred Shares that can be converted in two years (if they want to)....

ESVS has two companies....1) Laptop Solutions, and 2) NB Digital

NB Digital has involvement with major Hollywood Movie Companies, DVD, internet related content, and compression technologies.

The relationship for ZULU-tek is very positive with ESVS (a NASDAQ company) and will reinforce Zulu-tek in the areas of:

1) Finacially
2) Management
3) Technology

Also from yesterday...

Just spoke to Bob Maples of Maples Comm. for [NASD:ESVS]

First off his is very excited about the NEWS and feels this is a
WIN - WIN for both ZULU and ESVS.

Steve Lair will be new "GROUP CEO" for ESVS and will be
"watching over ZULU" with the new investment made announced earlier to make this group the "Premier Internet Solution Provider"

Believes ZULU is undervalued as compared to DCLK as ZULU has 5 product offerings as DCLK only has 1.

REGARDING to the 50 MILLION "details are still unclear" but the investment goes into all necessary Divisions needed to make the "Premier Internet Solution Provider" i.e. some into ZULU Tek / Some into Echo Media [cant be specific.] He Couldn't comment as to any dilution to either company but stressed both companies will benefit greatlty!!!

That's all I could muster as Bob had to take several calls.
