THREAD - JUST A PERSONAL NOTE :Dow Jones Newswires -- March 10, 1998
Compaq's Pfeiffer Earned $4.5 Million In 1997

NEW YORK (Dow Jones)--Compaq Computer Corp.'s (CPQ) chairman and chief executive, Eckhard Pfeiffer, received $4.5 million in cash compensation last year, according to the company's proxy statement.

Pfieffer's 1997 salary of $1.25 million was the same as in the year earlier, but his bonus increased by $250,000 to $3.25 million.

Pfieffer was granted options on 1.75 million shares in 1997 at an exercise price of $36.66 a share with an expiration date of September 2007. He didn't exercise any options in 1997, according to the statement.

Compaq's chief financial officer, Earl Mason, received $1.175 million in cash compensation, up from the $666,250 he was paid in 1996, according to the statement.

Mason exercised options on 150,414 Compaq shares last year for $2.14 million. He was granted options on 650,000 shares in 1997 at an exercise price of $36.66 a share, also with an expiration date of September 2007.

Roel Pieper, the former chief executive of Tandem Computers, which Compaq acquired last summer, received $1.786 million in cash compensation in 1997. Pieper resigned from Compaq in January, but "is receiving additional payments of $4.239,264 in connection with his termination of employment," the filing states.

Pieper also exercised options on 626,366 Compaq shares in 1997 for $15.8 million. Pieper is now chief strategist at Philips Electronics NV. (PHG).

Compaq will hold its annual meeting April 23 at its headquarters in Houston.
