There are many possible motives to "cook the books" outside of insider selling. For example, looking back on 1997, ACTM made an acquisition last summer by paying 190,000 shares of stock, then worth $27.50. The same acquisition now, at today's prices, would cost 510,000 shares of stock or so, quite a difference. Also, a big change in financial condition can cause a bank to pull or limit a credit facility, if the loan agreement so allows. Sometimes, also, insiders have pledged their shares for personal loans from banks, something they are not required to reveal to shareholders. I'm not saying any of this occurred here--I don't know--but many "incentives" can exist for financial misreporting.
