Charles,

In looking at the SEC filings back over a year ago, the deal was never completed. AETG was to obtain 52.8% interest in Telephonics. AETG also had another deal in the cooker to obtain another co. involved in Telephony. (did not close either) Personally I see this as a plus as AETG has not been doing that well.

Telephonics is the center of attention here now, as the question is, how the joint venture will benefit ADGI and visa versa. I can't help but think that ADGI is planning a positive from the venture or they would not have enjoined it. That is the plan, isn't it?, to grow the company?

Telephonics appears to be in the right area as digital voice and video is the wave of the future.

Regards

Ken W
