1) Has to pass or the Series D preferred holders (a management group and Amber Arbitrage) get their preferred shares converted to common shares without having to pay $.63/share to JTS ie they get their shares converted for the $.17/share they already paid to JTS.

2) Will allow Amber, the folks from 1) who own most of the series D preferred stock, to call for board meeting when they, Amber, want something voted on/passed. AND, if AMBER converts all of their series D shares, and this requires a further payment of about $20M to JTS, Amber will control about 46% of the outstanding common shares of JTS

None of this is speculation or rumor, it all documented in the JTS SEC filings from over the past 6 months.
