TCI approves amended terms for Encore Media deal

ENGLEWOOD, Colo., March 13 (Reuters) - Tele-Communications Inc (TCI) <TCOMA.O> said on Friday it approved the amended terms for last summer's deal that combined the Encore and STARZ! business units into Encore Media Group (EMG).

Under the new terms, Liberty Media Group, a unit of cable giant TCI, owns 100 percent of the equity interests in EMG after acquiring the 20 percent formerly held by the TCI Group, another TCI unit.
EMG's payment to TCI Group as part of an affiliation agreement was reduced, TCI said. EMG will pay $288 million with interest, due by March 31, down from the original $400 million that was due by Dec. 31, 1997, the date of the amendments.

The original transaction was announced on July 1, 1997.

TCI Group will make fixed payments to EMG that are $55 million lower each year than under the original deal, for unlimited use of all existing EMG services across TCI Group's subscriber base.

Leo Hindery, TCI president, said the new terms will consolidate ownership of programming assets under Liberty, where they can get the best value recognition.

TCI Group shareholders also benefit from the cheaper programming payment obligation, he said.

Liberty's president, Robert Bennett, said EMG is one of its most important assets and a key component of its long-term strategy.

TCI, whose chairman is John Malone, is traded through the common stocks of TCI Group, the TCI Ventures Group <TCIVA.O>, and Liberty Media Group <LBTYA.O>.

Liberty Media is one of the nation's largest providers of programming to cable TV systems.
