To All: An interesting post on the Yahoo thread that might explain the discrepancy in the inside ownership numbers. I hope NoGoodGordon will not mind my posting of his message here: Insider holdings revisited NoGoodGordon Mar 13 1998 1:37AM EST indinvestor, xyyzz, ZGramma & anyone else who's interested: The numbers I quoted were from the documents filed with the SEC. The Def 14A and 13G/A filings were dated 12/23/97 and 2/17/98, respectively, and are more recent documents than the 10K (filed 12/1/97). Presumably they contain somewhat more current numbers, but probably not enough difference to be worth arguing about. Important, however, is that there is overlap in the percentages that Morean and Petersen control. Petersen has shared voting and dispositive control over 8,197,500 (22.1%) of the outstanding shares. Of those, 6,638,000 are owned by the William E. Morean Residual Trust, in which she is a co-trustee with Morean. Another 1,618,500 of her shares are under the auspices of "President of Morean-Petersen, Inc., the sole general partner of the Morean Limited Partnership, a North Carolina limited partnership," and voting power of those shares is also shared, although with whom is unclear. (Presumably not Morean, since he's not named as co-owner in that venture in any of the filings. Another of her children, perhaps?) Morean, on the other hand, shares control of the Trust's 6,638,000 shares, and and also has shared voting power over another 100,000 shares owned by the Eagle's Wing Foundation, a private charitable foundation. He has sole voting power over the 6,905,500 shares owned by Cheyenne Holdings Limited Partnership, a Nevada Limited Partnership. Just adding up the percentages of the individual shareholders insider holdings to get to 65+% is "double dipping"; it counts Petersen's and Morean's shared voting power twice. They don't EACH control 6,638,000 - they jointly control those shares. In any case, I agree with other posters that there has no recent significant insider action in either direction, and insider holdings are substantial. Presumably, they have much more at stake that we do, and will work to increase shareholder value. -------------------------------- Sure looks to me like NoGoodGordon has some good sources. Thanx! I think that there may be some overlap between the holdings of Mr. Morean and Ms. Petersen, but it seems, to me at least, an increase in insider ownership of the company. ANY increase in ownership of the company by insiders is a bullish sign. I sure hope IR at Jabil can help us clear the confusion. Karim
