marcello, No, I don't know who the NASDAQ company is, but from all indications in the press release, I am convinced it is most likely a NASDAQ "shell."

I am somewhat familiar with this type of situation. I have seen this occur with other companies.
(If it walks like a duck, sounds like a duck, and looks like a duck... I would guess it's a duck! <GG>)

There is adequate information in the press release to make the calculations I have made.
