Lucent Technologies and Advanced Radio Telecom (ART) have signed a letter of intent calling for Lucent to provide about $200 million worth of equipment and services for ART's packet-switched, wireless network for businesses across the United States.

The letter of intent, announced Thursday, outlines a plan for Lucent to build ART broadband data networks in Seattle and Washington, followed by an additional 10 cities.

Part of the deal is for Lucent to provide financing for the project, but this is contingent upon various conditions, including ART meeting a series of performance objectives as the network build-out progresses. A final contract is subject to ART's completing further financing agreements and various other conditions, Lucent said.

If all goes as planned, Lucent will supply integrated operating systems that incorporate a range of equipment including point-to-multipoint radios; the Lucent MX1000 edge and GlobeView-2000 ATM switches; access concentrators; fiber and multiplexer systems; and communications software products.

The deal is a key step in ART's effort to become a leading provider of packet-switched, broadband data services to U.S. businesses, ART Chairman Henry Hirsch said in a statement. ART's 38-GHz broadband spectrum licenses cover 210 markets in the United States. Additional licenses cover the United Kingdom, Denmark, Norway, and Sweden.

For its part, the deal underscores Lucent's foray into the data communications world, expanding from its traditional voice-switched installed base in the landline public switched telephone network.

Just this week, Lucent completed the acquisition of Hewlett-Packard's local multipoint distribution service, a wireless business unit. Lucent is also launching a new wireless broadband networks division in Milpitas, Calif., that will play a key role in the design, manufacture, and deployment of ART's network.

Advanced Radio Telecom Enters into Agreement to Enhance Density of National Coverage

BELLEVUE, Wash., Jan. 27 /PRNewswire/ -- Advanced Radio Telecom Corp. (ART) (Nasdaq: ARTT - news) today announced that it has entered into a definitive agreement with DCT Communications, Inc. (DCT) to acquire 49 additional 38 GHz licenses covering a population of approximately 63 million. With this acquisition, ART will increase its spectrum density in 28 of the top 50 markets. Following completion of this and previously announced spectrum acquisitions, ART's nationwide footprint will include:

358 channels covering 210 markets, including 49 of the top 50 and 90 of the top 100; population coverage of over 186 million; multiple channels in 84% of its markets with 300 MHz of spectrum in 21 of the top 50 cities; a domestic channel population of over 371 million (the sum of the population covered by each channel owned); licenses covering four European countries (UK, Sweden, Norway and Denmark) with an aggregate population of over 77 million.

ART will acquire all of the outstanding shares of DCT in exchange for registered shares of ART common stock with a value of approximately $28 million, subject to adjustment based upon the trading price of ART shares at the time of closing. The transaction is subject to various closing conditions, including approval by the Federal Communications Commission.

''This spectrum acquisition significantly strengthens ART's already impressive nationwide coverage and channel density,'' said Henry C. Hirsch, Chairman, CEO and President. ''As we build out our new broadband data networks in selected metropolitan areas, ART is now even better positioned to serve a diverse set of customers who have substantial data communications requirements and take full advantage of existing and newly emerging technologies.''

Notice, LUcy is going to fund the $200 million project themselves.
