As I have been in school for work the last three weeks, moving/buying a house in the next 2 weeks, then back to school for 2 weeks, I haven't, and it doesn't seem like I will, get to talk to them and get back into investing more full time till mid-April into May. However, it is my impression that the merger will become a public company which will trade under USMC using the current stock. This will allow the larger private company to have an immediate public presence with shares already tradeable and out there on the market. Often, companies that want a to go public, will buy or merge with a shell company that is already public just to save time and effort plus expense of obtaining and market presence, going through an IPO, etc. If that is the case here, it is great as both make the same type of product, have a following in the market place, and USMC has it's own potential and will now have the money to make it happen. Also USMC was legitimate and not a shell. With the influx of the larger, private company's money and assets American Image bikes should reeally start to take off and their business will benefit as well from the talent USMC brings to the table and cost reductions from better buying power and reduced overall manufacturing cost. The other possibility is, the newly formed corporation will issue a new stock and pay us off at great rates in a tender offer or in stock in the newer, bigger company. Either way we win in my book. As I said, I am not totally on top of this,nor will I be for a few weeks, but I am totally comfortable with what is happening and am looking forward to getting settled and back on track with these guys. As I am able, I will post more as I find out and speak with them.
