Maybe netvest is putting up most or a portion of the money for ESVS and holding the stock as collateral

My question is on the previous paragraph 3.04, concerning unregistered stocks. Before they can be traded they have to be registered or held indifinitely.

3.05 INVESTMENT REPRESENTATION. NETVEST is acquiring the Enhanced Stock as principal for its own account and, not with a view to, or for sale in connection with, any distribution thereof except to the extent that the Enhanced Stock may be distributed to partners of NETVEST and, except with respect to such reissuance, NETVEST has no present intention of selling or otherwise disposing of the Enhanced Stock.

To me this sounds like they have set up their own middleman for handling 'the Reg S placements' (the debentures per the 8-K). If the VCs are behind this they will also earn the commission on each debenture ESVS sells. Most other cases I've seen the debenture placement is handled by a third party.

One thing is clear, there are signs of a grander plan here.
