We need to see the written terms of the agreement between the private placer and WAVX. If the new preferred shares are "floorless" shares without any restrictive convenant, then the manipulative shorting games can indeed go on.

All I can says is that RegD financing is not as smelly as RegS, which is usually done offshore.

Although I expressed chagrin at another Reg-D, my only concern is dilution.

I believe that Wave makes these placements prudently, with private investors who would find the sort of chicanery you cite absolutely unthinkable.

Thanks for your follow-up, jduffy. You got the president's attention, as you probably noticed, and he may have alleviated some concern. You're right, too, about the minimal "upside" associated with shorting a stock trading just above $1.00, coupled (I would imagine) with the "downside" of having to cover if the stock pops to $3.00, for example.
