Because they didn't want to enrich their main competitor. They were damned if they did, and damned if they didn't.

Because that had already achieved their objective of greatly enhancing their market share as well as putting a world of hurt on their numerous competitors. Also, they know that their technology is better the Rockwell's, which will become more and more evident as more ISPs and users adopt V.90. All independent evidence indicates that USR client modems will achieve better results than Rockwell base modems in a V.90 environment.
