This S3 is the filing for the latest equity financing. Because of the financing there are more shares outstanding which in turn dilutes shareholder equity. Yes, they can recall the convertible share but at a 133% premium.

An S-3 is a type of form used to register securities. It is available to issuers that already have registered securities.
