Go to nasdaq.com
It's in frames, so if you go to the reference part of the navigation bar and look under listing requirements, you will find the regs for both the national market and the small cap's. You will also find the 4300 series rules which were quoted on this thread.

What you will find is that FAMH meets, and will meet every requirement, except for the minimum bid price. I believe that won't be a problem, since there will be a time where they will be able to bring the bid price up in the event that it does not hold. If the price of the stock as it is now goes over $1, then it will be a non issue IMO.

Also, it was mentioned that since FAMH merging into the target company will change the business of the target company( which from what I understand isn't doing anything right now ), that the newly merged entity will have to meet the initial requirements for listing.
Again, they have currently everything in place, and will have corporate governance as soon as the SEC filings start rolling in. The bid price isn't an issue IMO. By looking at the stability of the share price over the last few weeks, it seems that the majority of the float now is waiting for a fairer valuation. As soon as the float shrinks, also by a factor of 4, it will facilitate the price in matching and exceeding those requirements.
