Omnichrome, I respectfully disagree. The eps of .36 post merger is correct according to my calculations.

It does NOT matter how many outstanding shares there are currently, when you figure the 1997 EPS. The way the calculation is done, is by using the WEIGHTED average outstanding shares for 1997. This is standard practice. Just because FAMH is merging with a NASDAQ company, does NOT mean that they have to change their calculations for their 1997 eps figure.

If FAMH was just doing a 4 to 1 share exchange without the merger with the NASDAQ company, their 1997 EPS would be (10.85 x 4) 43.4›. By doing the merger the only thing that must be accounted for, in order to arrive at the CORRECT 1997 EPS, is the number of outstanding shares for the NASDAQ company. And that is why the 1997 eps is .36› and not 43.5›

I get it now.

Fahm is using their weighted average 1997 shares to figure the .36
eps earnings for the combined company.

20mil shares; 2.2mil net
2.2/20 = .11 aprox. eps

merger 1997

20mil shares/4 = 5mil

weighted avg. merger company approx 1mil?

5mil + 1mil = 6mil weighted avg.

2.2mil/6mil shares = .36 approx.

Am I warm?

Omni,
Since the 40 mill shares is based on the acquisition of Myriad and other small companies, you would have to use earnings based on those numbers. We don't know what the earnings may be from Myriad, Downey show, other companies, etc. I do know that Myriad is growing in leaps and bounds and the Downey show has a HUGE earning potential. It is POTENTIAL, but

Don't take selective 1998 and 1997 numbers and combine them. THAT IS DEFINITELY WRONG!!
