TO ALL INTERESTED IN "The Other Company" . . Hmmmmm
I am very interested in the other company we may merge with. I have been thinking . . . wouldn't it be prudent of Ira to do the deal in a friendly way . . . wouldn't it also be wise to offer the other company a deal they couldn't refuse . . . he surely wouldn't be offering to buy a company on a 1:4 when 4 shares of FAMH were substantially less than the going rate of the other companies shares. . . the other shareholders would not receive any instant value like most sought out companies usually do ( i.e. company A offers to buy company B for 1.2 or 1.25 times their current per share value.) . . . In our case, if FAMH pursues a company in the, let say $9 range, the stock value is not necessarily going to remain at that level right away. . . . .
. . . But, if FAMH offers to buy a company that is valued at less than 4X FAMH price, the "other company" would probably go for it rather easily. . . .
. . . . I have located a company that I think is "the one". I have done a great deal of DD, including technical, fundamental, and logical research as well as calling the CFO. I had a discussion with him and he basically said, "I can't confirm or deny that a merger is in the works". "I can say that we are and have been positive about a merger if the deal were good enough"

Cheryl, do you (or anyone else) have the opening share prices on the days when the "Undervalued Dog" recommended the following stocks:ADGI, NETZ, HNLY, CCGI, and FAMH? Since I only just started getting their e-mail I don't have the dates of recommendation, nor do I know how to research accurate share price history on pennies... (Graphs don't help me....) I'd like to see a performance to date study on their picks as they have not responded to my e-mails... Thanks in advance anyone!

Cherly, Brad: I believe what you say is true. I can follow the reasoning and agree with all of the calculations, BUT the press release must have other errors besides the 1997-1998 mistake.

If you look at (read) the release it clearly says 40,000,000 shares are used in all subsequent calculations...

"The following share considerations are used in subsequent calculations:

--Firamada Shares Outstanding: 40,000,000
--NASDAQ Company Shares Outstanding: 1,413,913
--Brokerage Warrant percentage at time of Merger: 4.9%"

and then again uses 10,000,000 plus the other company's shares and warrants to come up with 11,973,195 shares at $0.36.

"Based of [sic] Firamada's pre-merger EPS of $.1085 for 1997, and the proposed post-merger total number of shares (11,973,195), the new EPS calculation for a NASDAQ Listed Firamada company would be approximately $.36."

Another mistake in the press release or am I missing something! Pleasssssse tell me I'm wrong. ;>)
