Reg S and Reg D shares are those sold to non Americans with restrictions on when they can enter and trade in the USA. You can literall raise a Reg S deal in one day, as the SEC cares not what you do to screw aliens. However there is an extensive hold period and the stock can sell for 20-40% under market. These are commonly used funding mechanisms in lieu of IPOs and other SEC stuff which can take 6 months to do and get approved.
