V.S.E. accepted the acquisition. "V.S.E. Notice Tuesday, March 24, 1998 The Vancouver Stock Exchange has accepted for filing an agreement dated November 22, 1997, as amended, between Societe Victory S.A.R.L. and the Company pursuant to which the Company may acquire 65% interest in eight mining concessions in Northern Madagascar. Consideration is the advance of US$200,000, issuance of 400,000 trading shares forthwith and the issuance of 800,000 shares into escrow. The escrow shares shall be non-voting, non-dividend paying and non-participating upon distribution of Company assets. The escrow shares will be released on the basis of one share for every $1.00 of cumulative cash flow received by the Company from the property within two tears from the date of the Joint Venture and Operating Agreement as evidenced by audited financial statements."
