CYBERCASH LEADS INDEX WITH ICVERIFY PURCHASE

March 24, 1998

------------------------------------------------------------------------

ELECTRONIC COMMERCE NEWS via NewsEdge Corporation -- CyberCash Inc. [CYCH], coming off an agreement last week to purchase ICVERIFY Inc., was one of the high performers in ECN's Stock Index this week. CyberCash, a Reston-based provider of Internet commerce payment applications for merchants and consumers, is buying Oakland, Calif.-based ICVERIFY for $16 million in cash and 2.3 million shares of CyberCash common stock.

CyberCash's stock closed at $16.33 on Thursday, March 19, a 13 percent rise over the previous week. The company's stock climbed almost $2 to $17.88 on March 17, the day the acquisition was announced, from $15.94 the previous day.

CyberCash enables merchants to receive Internet payments using electronic checks, elec-tronic cash, and electronic credit cards. ICVERIFY brings to CyberCash its physical world software platform on which ICVERIFY created NetVERIFY, a merchant payment solution for the Internet.

ICVERIFY will become a wholly owned subsidiary of CyberCash. F. Thomas Aiden will remain as president and CEO of ICVERIFY. He also will serve as executive vice pres-ident of CyberCash. Steve Elefant, ICVERIFY co-founder and chairman will become vice chairman of CyberCash. Eric Buchbinder, the other co-founder will become senior vice president of advanced technology for CyberCash.

The deal is expected to be completed in the second quarter this year.

Overall EC Stocks Up

For the year to date, the ECN Stock index is up 20 percent versus the S&P 500 stock index, which is up 10 percent, according to Richard D. Park, a San Francisco-based analyst with Merrill Lynch & Co. [MER]. "Electronic commerce stocks have outperformed so far in 1998," he says. "We expect continued solid performances in this sector through this year.

"Electronic commerce companies overall have higher visibility and relative stability compared with other companies in technology," Park says. " Electronic commerce stocks, for example, have a higher services component in their revenues versus pure hardware and software companies which have more of a product cycle."

Recurring revenues, an important metric for many investors, also on average are higher for these stocks, he says. Dublin, Ohio-based Sterling Commerce Inc. [SE], as an example, has 60 percent recurring revenues, 40 percent from network services and 20 percent from software maintenance, Park says. (Cindy Bennett, ICVERIFY, 510/563- 6215; Richard D.
