I have no info. on the talks but indirectly we could look at what levels the stock swap could take place at.

DATE CAYC OLEX
3/25/97 $2.25 $.48

We all know that Oilex is worth on its balance sheet apx. $14 million. That translates into a value of about $3.60 per share. So it would take 1.6 shares of CAYC for every share of OLEX to give the shareholders of OLEX a minimum fair value.

I would suspect if CAYC appreciates in the next few weeks we will see a strike price for a 1 for 1 share swap, IOW, a price of $3.60 or greater for CAYC.

CAYC is buying Oilex shares in the open market. Baron-Marney is also buying. The remaining OLEX shares will be, if the deal is concluded, swapped for CAYC shares but at a level that will both give OLEX shareholders fair value and minimize the number of CAYC shares swapped to avoid excessive dilution of CAYC.

Hopefully some Market Makers are reading this and will begin to understand this deal and what needs to happen to make it a reality. CAYC needs to be above $3.60 a share and OLEX can appreciate up to $3.60.

There is great potential here for huge profits for the patient investor.
