"...LOS ANGELES--(BUSINESS WIRE)--March 26, 1998--Legacy Software Inc. (Nasdaq:LGCY - news) and BTI Medical Inc. announced that they have signed a letter of intent to merge their companies.

Legacy will be the surviving entity, acquiring BTI Medical by means of a share exchange. Legacy and BTI Medical, through its Black Tusk Interactive division, have previously announced a joint financing program totaling $3.5 million for the development and publishing of high production value, educational software.

For this purpose, Legacy and BTI Medical have formed two Limited Liability Corporations to begin development of ''Emergency Room Deluxe'' and ''D.A. Pursuit of Justice.''

''We have perceived an opportunity in the BTI merger to move Legacy closer to the critical mass our industry analysis indicates as necessary for dynamic growth and sustained profitability,'' said Legacy's Chairman and President Dr. Ariella Lehrer. Per our previous post(s) SoftQuad management indicated that in the event said merger consummated it would be positive for SoftQuad in that they would be the beneficiary of marketing all products developed pursuant to said merger.
