This is just my opinion, and wild speculation at that, but it seems to me that what might have happened is that Ira may have contacted the company management first, a while ago, and had some preliminary talks with them. Then maybe, if the negotiations went stale, or if ATXI management didn't care, maybe Ira, being the New Yorker that he is, decided to go straight to the majority shareholders who were denied a seat, disgruntled with management, etc.

From what I can tell, ATXI isn't in that great of a position to be doing much. Their website is incomplete with missing links, phone numbers for financial information missing, and they only have 20k left in their credit line from the 12/97 filing. Is is just me, or was the release by ATXI management a little harsh? Maybe they were not too happy for not being in the loop. Maybe Ira and the rest of the majority shareholders decided to wait till the very last moment once they were assured to have the voting shares accumulated. Don't know, but the whole thing is interesting.
