Overhead is simply a large number of shares that traded in the past above where the stock price is located at present....This does not include virgin territory, or where the stock is again approaching an all-time high after consolidation..Shares at that all-time high level are not to be counted...Mark

Chris,

If I my add to what Mark stated. If a stock has dropped in price, people have a tendency to sell when the stock returns to their buy price; they are relieved to get out without a loss. This effect slows the stocks accent and is called overhead resistance.
