Irrespective of who buys from the secondary, the trades always show up as part of the daily market transaction.

The Secondary offering price is always very close to the prevailing market price on the day of the Secondary's execution. The company does not wish to antagonize existing shareholders!

That has been my experience in all the Secondary offerings that I have come across.

Does anybody have a contradictory experience(s)?

What determines the discount that might be offered? Do you know? And who will be buying? Only institutions? Or are the retail customers of the underwriters able to buy?
