"A spin off would not necessarily make a buyout more likely because a buyer could cause a spin off after an acquisition of CUBE." That is absolutely correct and the most likely scenario if CUBE were to be bought out. It's a way of getting the company and paying the stockholders less than full value. If you are long this stock you do not want to be bought out for a few bucks above the current price. BTW who would you name as Divcom's top competitors?
