Briefing.com (3/30/98) on ASND takeover rumors in high 40s/low 50s
[Personally, I think ASND earnings acceleration and excellent 6-9 month prospects are moving the stock, not takeover rumors, but small minds like briefing.com never seem to grasp the obvious.]

Brief: Recent action in Ascend suggests that the speculators are at play once again...
Stock is an oft rumored takeover target... Target price rumored to be the high-40s,

CUPERTINO, Calif.--(BUSINESS WIRE)--March 30, 1998--

SkyWave's NetManager 98 Will Use Portal's Infranet Software for

Real-Time Management of Internet Telephony Services

Portal Software, Inc., the leader in customer management and billing software for providers of Internet services, and SkyWave, Inc., developer of gateway and network management solutions for Internet telephony, today announced that SkyWave has entered into an OEM agreement to use and resell Portal's software for real-time management of Internet telephony services. This partnership will deliver the benefits of Portal's customer management and billing software as part of a comprehensive turnkey solution to Internet telephony service providers (ITSPs).

Under the terms of the agreement, Portal's Infranet(TM) software will be built into SkyWave's NetManager 98, which monitors and manages an Internet telephony gateway network. Gateways are the bridges that connect the traditional telephone world with the Internet. Using Portal software's real-time capabilities, NetManager 98 tracks all gateway activity including account creation and registration, caller authentication and authorization, credit verification, prepaid phone card usage and settlement among originating and terminating providers. Portal's real-time architecture makes all customer and call data instantly available so it can be acted upon immediately, enabling ITSPs to increase revenue, reduce costs and improve customer satisfaction.

"SkyWave selected Portal's Infranet software for its real-time customer management and billing capabilities and because it can scale to handle the potential massive growth in Internet telephony usage," said Kevin Nethercott, co-founder and vice president at SkyWave. "This partnership allows SkyWave to focus on our core technology for Internet telephony by relying on Portal to provide a comprehensive solution for real-time management of Internet telephony services."

"SkyWave is leading the industry in offering integrated solutions that bring together best-of-breed technologies from several sources," said Steve Sommer, vice president of marketing and business development at Portal. "Together SkyWave and Portal are providing ITSPs with the critical components needed to make Internet telephony a widely used means of communication."

Portal's Infranet software unifies the management of all core Internet business operations including the ability to register, track, manage and bill subscribers. Its real-time architecture and open development environment provide a platform for Internet service creation and management. Infranet's proven support for millions of users and 24 x 7 telecommunications-grade reliability make it the ideal solution for Internet telephony services management.
