If it's in an SEC filing, then the company needs to support the statement, or answer to the SEC and investors....that goes for all publicly traded companies.

Actually, ESVS shouldn't have to explain anything to anyone if the data turns out not to be happening. Nor would NETZ.

ESVS made a tentative deal with NETZ, contingent on their producing the audited financial statements by a certain date. No financial statements, no deal. No explaining need to anybody.

Same thing for NETZ, as their isn't any penalty, other than the deal not going through. Everybody just walks away.

It appears that nobody will be in trouble with the SEC or anybody else if the audited statements do not materialize. Just no deal.
