KLA-Tencor Anticipates Lower Third Quarter Results

SAN JOSE, Calif.--(BUSINESS WIRE)--April 1, 1998--KLA-Tencor Corp. (NASDAQ:KLAC - news) today announced
that it expects its financial results for the third quarter ended March 31, 1998 to be below analysts' expectations.

Revenues for the quarter are expected to be approximately $270 million, down about 17% from the $326 million it reported in
the second quarter ended Dec. 31, 1997. Analysts had been expecting revenue to be in the $300 million area. The Company
has taken actions to reduce its spending and adjust to the lower revenue level and expects that net margins will be
approximately 11%, prior to non-recurring acquisition costs.

The Company, the world's largest maker of process control and semiconductor yield management systems, is being affected
by the slowdown in capital spending by the worldwide semiconductor industry. Weakness in the Asian economies has caused
large semiconductor customers to reduce planned expenditures and delay the construction of new fabrication facilities.

The U.S. and European regions had been stronger on a relative basis for some months, however, recently certain planned
facilities in those regions have been cancelled or postponed.

The Company will release operating results for its third quarter ended March 31, 1998 on April 16, 1998 prior to the market
open.
