For CUBE IR; questions for the conference call on 4/16/98.

1. Would management consider a tax free spin off of DiviCom, prorata to the existing shareholders of CUBE. There would be no need to change the interrelated way in which the two companies operate. The same shareholders that control CUBE now would control Divi after the spin off; the only difference would be that Divi's stock would also be publically traded. Divi's value is not currently reflected in the market price of CUBE (at 5 times revenue Divi is now worth approx 500 million which means that its parent, CUBE is valued at approx book value given the current price).

2. Does management expect the lower combined federal and state income tax rate (30%) to continue past 1998? In other words is the lower tax rate due to research and experimentation credit and the earnings of foreign subsidiaries in lower tax jurisdictions, which should continue as long as research budgets increase and foreign growth continues?

What happened? After 3D0 was bought out, was the project moved over to CagEnt?
