An accredited investor is someone who has a net worth of $1M , or has individual income in excess of $200K/yr in last 2 yrs or joint income of $300k/yr including spouse. Companies needing capital look for accredited investors because there are limits to the number of non-accredited investors for private placements or preferred stock offerings, etc.

Typically, investors in private placements, both accredited and non-accredited, get a peek at the company books, or whatever the company wants to show them, which can be non-public info. The bigger the $investor, the better chance to see more detail.
