SAN JOSE, Calif.--(BUSINESS WIRE)--April 1, 1998--

CyberSource Corporation Reorganized to Form Two

Separate Companies; software.net -- as the Online

Software Reseller and CyberSource -- the Digital

Commerce Services Company

software.net, the premiere online software superstore, today announced that it has appointed Mark Breier as CEO of software.net. Breier is an experienced consumer brands and marketing executive who most recently served as vice president of marketing at Amazon.com. Breier will report to the software.net Board of Directors and Bill McKiernan in his capacity as chairman.

The appointment of Mark Breier finalizes the separation of the CyberSource and software.net businesses. Bill McKiernan will remain as President and CEO of CyberSource Corporation which provides global digital commerce and rights management services to software.net and other companies who distribute digital products and services over the Internet.

"Over the last four years we have created two very successful businesses -- software.net and CyberSource Corporation," said McKiernan. "As these businesses have evolved it has become obvious to us that they address different market segments and require different business models and marketing skills. It makes sense for them to focus on their respective markets, technologies and customers and give them both the opportunity to become two hugely successful independent businesses."

McKiernan adds, "We believe Mark Breier will add tremendous value to software.net, especially with his blend of consumer brand background combined with his Internet experience at Amazon. Bringing someone with Mark's proven track record on board is key to software.net's long-term success as it continues to build the software.net brand to be the premiere software reseller on the Internet."

Prior to joining software.net, Breier was the vice president of marketing at Amazon.com where he helped lead the company's growth from $16 million in 1996 to almost $150 million in 1997. Before Amazon.com, Mark was vice president of marketing at a number of consumer companies including Cinnabon World Famous Cinnamon Rolls and Dreyer's/Edy's Grand Ice Cream. He also held product/brand management positions at Kraft and General Mills. Breier received MBA and BA degrees from Stanford.

"I am thrilled to join software.net as it enters an exciting new phase of growth," said Breier. "It's never easy to leave something as successful as Amazon.com, but the CEO position at software.net represents a very attractive opportunity. I'm looking forward to helping software.net take electronic software distribution and Internet commerce to the next level."

5-for-1 split just announced!

Y2K,

Would you point me to a URL for this? This seems unsubstantiated at this point.
