National Semiconductor Acquires C-Cube Microsystems

SANTA CLARA, Calif.--(BUSINESS WIRE)--April 1, 1998--National Semiconductor Corp.(R) today announced it has signed an agreement to acquire C-Cube Microsystems, a Milpitas, California company that is the industry leader in the development and delivery of highly integrated digital video silicon solutions that address the consumer electronics, communications and convergence markets. The terms of the agreement will be released within the next week.

With the acquisition, National emerges as the leading figure in low-cost computing solutions enabled for digital video. Other National subsidiaries include Cyrix Corporation, a leading supplier of innovative microprocessor-based solutions that set new standards for the personal computer market, and Mediamatics, a leading developer of software-based digital video solutions.

Since its founding in 1988, the Milpitas, Calif.-based company has worked towards increasing the visual content of communications through the cost-effective application of digital video compression technology. By compressing images by orders of magnitude without visible degradation, C-Cube products eliminate the storage, central memory and bandwidth bottlenecks that have prevented television, consumer electronics and desktop computer products from using digital motion video.

C-Cube has pioneered a series of firsts in the digital video industry. C-Cube brought to market the first MPEG 1 video decoder as well as the more complex encoder for the MPEG 2 standard critical to driving the emerging digital video market.

C-Cube's other firsts include the first highly integrated MPEG 1 encoder, the first broadcast MPEG decoder; the first MPEG 2 transport demultiplexer; the first consumer MPEG decoder; the first multi-standard codec and the first single-chip JPEG codec.

"The synergies will be felt as early as the third quarter of this year," said Stan Swearingen, senior director of business management and marketing for Cyrix. "C-Cube has established a reputation for high quality digital video codecs and we plan on working closely with them as we develop new system-on-a-chip technology from our successful MediaGX(TM) processor."

Doug McBurnie, senior vice president of National's Communications and Consumer Group, said the acquisition of Mediamatics will significantly speed up National's thrust into the consumer-oriented home information appliance market.

C-Cube has over 700 employees worldwide. The unit will retain its identity as C-Cube Microsystems and will operate as a wholly owned subsidiary of National Semiconductor. Alexandre Balkanski, C-Cube's President and CEO, will serve as president of the new subsidiary and as a National vice president reporting to McBurnie.
