AA & all - AA, I don't see a big deal about this proxy. I guess we are spooked and feel everything has some extraordinary significance. The trend of the networkers is consolidation and stock is still a good currency - especially if pool-of-interest [better tax treatment] is used. BAY, or any co for that matter, should not try to increase max authorized shares for issuance at the 11 hour.

It sounds like BAY has a Right Plan. Again, fairly typical stuff. The important thing is for BAY mgt to fulfill its fudiciary duties if and when someone is proposing.

Dear AA: I dont now, without spending a great deal of time and going back and finding the details of their "poison pill" plan (see last sentence of your message) its impossible to know what it means out of context like that. The rest of the stuff about dilution etc seems pretty standard to me. JDN
