The 8 million shares outstanding figure appears (or at least appeared, if the website is changing) on the same website that said HNLY had OFFERED to buy controlling interest in MGRA. So I view the shares outstanding figure as probably excluding the MGRA transaction.

Since HNLY hasn't disclosed the terms of the MGRA deal, it's anyone's guess how many shares the deal may have included, as well as the type of shares or the terms under which the Magnottas might receive them. (Advent issued a lot of convertible debt, so the number of shares outstanding could jump whenever somebody converted debt.) But my best guess is that the 8 million figure is way too low, unless the MGRA deal was almost all nonconvertible debt.
