Press releases back me up on this: 6/16/97 NPEC has 20% in Andacollo properties & Mina Claudia (copper) 6/30/97 NPEC has 20% of Mina Claudia (Copiapo). 7/10/97 NPEC has 20% of Mina Claudia (Manto Millagrosso, Copiapo). 7/18/97 NPEC has 20% of 17 Andacollo properties. 8/9/97 NPEC has 20% of Mina Claudia & Andacollo. 8/12/97 NPEC has 20% of added 18 claims Andacollo (adjacent to La Colorada). 8/15/97 NPEC has 20% of added 18 claims Andacollo (adjacent to La Colorada)- NPEC retains...a 20% interest in all the acquisitions made by Frontier 8/18/97 NPEC has 20% of Andacollo, Mina Claudia & Babine Lake (Can.) 8/26/97 NPEC has 20% of Andacollo properties 9/2/97 NPEC negotiates for 100% of Pocone, Brazil project 9/18/97 NPEC has 20% of Grupa Santiago properties (2.5 km NE from Dayton's mine at Andacollo) 10/9/97 NPEC has 51% of Pocone, Brazil project (through Oro Fino, LLC) 10/10/97 NPEC has 51% of Pocone, Brazil 10/22/97 NPEC has 20% of Andacollo porperties 10/31/97 NPEC has 51% of Pocone, Brazil 10/31/97 NPEC has 20% of Mina Claudia & Andacolla (sic) 11/28/97 NPEC has 51% of Pocone, Brazil 12/17/97 MDIN deals for 2 properties 4 hours NE of Santiago. No mention of NPEC ownership at all. 2/2/98 MDIN's "Mr. Thomasson has been in Chile for the past 8 months overseeing the operations in Andacollo and reviewing the potential acquisition of 2 additional properties." No mention of NPEC ownership at all. 2/4/98 "Pursuant to agreements between NP Energy Corp. and Medinah Energy Inc., NP Energy has been offered the opportunity to participate in the proposed new acquisitions near Santiago, Chile." No mention of NPEC ownership at all. In short, I do not think that NPEC has a right to participate in the 2 Santiago properties similar to its right to 20% on Andacollo and Mina Claudia. Hence, NPEC may only participate in the 2 Santiago properties by virtue of its ownership of 14 million plus shares of MDIN- and not as a direct joint venture partner. WHL
