Shareholder Proposal for Inclusion in Management's Proxy Statement. Another question/concern [shared by Red Chip Review]: FLAT Q1-Q1 REVENUES? ...there simply is no way given even the slightest marketing abilities..inertia alone viz a viz new London office, new German office, Formula 1, NASCAR Pro, Rage 3D, Millennium Inceptor, Flight System, sales of exisiting products (and new) into new markets/distribution channels... It is our opinion that it is apparent pursuant to all issues of facts including but not limited to those cited in the last 48 hours specifically and within this ThrustMaster shareholder thread, in general, that the [non-insider] shareholders are victims of, at least, 1) including but not limited to alleged culpable negligence, equitable estoppel, and malfeasance, in addition to 2) including but not limited to alleged violations of SEC Rule 10b-5 specifically pursuant to alleged management misrepresentations, deceptive omission/non-disclosure of a [material] fact(s), breach of fiduciary duty and accordant causation and shareholder reliance, both of which are simply cause for immediate termination(s) and or a management reorganization in the interests of protecting and maximizing shareholder value. Furthermore and accordingly, we urge a shareholder proposal for inclusion in management's fiscal 1997 proxy statement contemporaneous with serving notice on management of an intention to propose [said] action at the shareholder's meeting.
