Hi there,

I am in the process of doing my DD to determine whether I'll join the FAMHily on Monday. Much of what I see looks good and promising but I am concerned about one, tiny little thing that is just nagging at the back of my brain: What the hell is with this Morton Downey shtick?

The company seems tightly focused on its core operations, growing them quickly by acquisition, etc., and then out of the blue they are pumping money into a shock-jock's tv show? Why? Shouldn't they be using their limited resources in more effective ways?

I am sure this has been asked and answered before but I have not yet come across it in reading all these many, many posts. If some one could take pity on my weak eyes and carpal tunnelled hands and offer me an answer, I'll be there with you come monday.

I don't believe that the 4:1 is set in stone yet.
I am sure that exchange ratio will change as the price of each security changes. Ira seemed to be ticked-off with the ATXI press releases and their reluctance to cooperate early on. He said that ATXI has caused some embarrassment for him and FAMH. Ira is a businessman, but he may even take it personally. So I think he will not allow ATXI to be unfairly rewarded. In other words, Ira has FAMH shareholders (I'm sure he has a ton of shares too) in his best interests.

I think the game is still being played.
FAMH is winning.
Ira and Wexford will make sure the rules are fair and equitable.

Your other question:
The Myriad business will contribute to FAMH in Q2 but not Q1 (since it did not close before 3/31/98). Since Q2 ends on 6/30/98, some threadsters were supposing that we wouldn't see Myriad's contribution to the bottom line until 45 days after that (8/15/98).

Here's how I see it working. You are correct that after the merger you will have 2250 shares. (slightly more than I) After the merger, on the date of the reverse, which will be posted in advance, the shares will open at about 4x of the previous days close. So if it closes at say $.70 the day before it will open around $2.80 the next day. This is only approximate since the ATXI price the day before could affect the price. If ATXI closes higher than 4x of FAMH on the day before, there will be some adjustment needed.

The thing that makes this less precise is the fact that this is a merger. Merging complicates things. At any rate, the price will be immediately affected by what the market perception of the merged company is at that time.

If the market feels that it is appropriately priced, it will remain stable. If the market feels that it is undervalued, it will go up. If the market feels that it is overvalued, (yeah, like that's going to happen), then it will fall.

Any way you look at it, there are some unknowns which could move the target. Of course, most of us here feel that it will rise soon after the merger. That's why we are in this stock. The reduced number of outstanding shares and reduced float and NASDAQ listing should put us in a VERY good position to move up. Then when the financial reports come out, BIG BADA-BING BADA-BOOM. Price rise heaven!

Melviticus the great, IMOHO FAMH will hit $1.25 as a BB stock. Around 1 August, we become either FAMH or ATXI on NASDAQ. When we hit, I see us starting at $8.00 a share. By November, I see us as $15.00 a share. The rest is up to Ira. If he continues to dominate as in the past, I see a share of FAMH/ATXI selling for $25.00 a share next year at this time. I am a professional soldier.I know how to lead soldiers in battle and win. I know land mines and explosives. I know human nature and weaknesses. I have learned how to survive. I have very limited knowledge of the stock market and it;s regulations. I DO KNOW LEADERSHIP. Ira will provide this. I have worked under the Schwartzscoff's, Frank's, Abram's , Saint's,and many more GREAT Americans. I will follow Ira. An old soldier once told me, " Lead, Follow, or get the H@ll out of the way"!!!

.....Melviticus, there is no event that will add FAMH to NASDAQ! The events that will take place are roughly as follows; they may not be in this exact order, and I may have left out one or two moves (state laws vary):

.....1. FAMH (with over 5% ownership & together with friendly shareholders) calls a board meeting. By law, Atrix must comply, within a specified number of days.

.....2. A request for resignations from the current board members will be made. Per previous written agreements, they will resign (not be fired - remember, they receive warrants).

.....3. A motion will be made to install a certain board of directors. This motion will pass, and the new board will be installed.

.....4. A motion will be made to install Ira Monas as President, and other officers of the corporation, per previous agreements, this will pass, and the officers will be installed.

.....5. A motion will be made to acquire all of the shares of FAMH. It will be seconded, and approved, with the help of friendly shareholders. Each FAMH shareholder will receive 1 share of ATXI for 4 of their shares of FAMH.

The following is my guess as to what happens!

.....6. A motion will be made to sell certain assets (the old business) to one or more Atrix shareholders, at a previously agreed price. This will pass.

.....7. A motion will be made to liquidate other assets (which do not relate to the old business, or to the core business of FAMH), and this will pass.

.....The company will remain Atrix (unless they decide to change the name), and will continue to trade on NASDAQ, as in the past. The appropriate agencies will be notified of all of the developments, and the NEW Company will be audited, and these audited results submitted to the appropriate agencies.

.....The share value will be determined by the audited financials of the NEW company (the combination of Atrix + Myriad + other acquisitions + Finance Division + MD Show + old FAMH), not the current FAMH. FAMH will cease to exist, in other than a corporate divisional capacity, and its stock will not trade, as it will have all been purchased by Atrix).

.....My view is: if the combined value of the new company reflects the very positive apparent earnings. The share value will rise significantly beyond the $3-$4 level that I initially expect. The reason being, that ATXI will be a $75-$100,000,000, highly profitable upstart, in a swiftly moving (highly profitable) personnel placement industry, with the most aggressive management team in that industry.

.....My further view, is that we can expect (in 1998) several large acquisitions, not unlike Atrix , as it is obvious that Ira has brokers looking for potential acquisitions. We now know that if Ira finds a company he wants, that CAN be acquired (by any means), he will purchase that company via a hostile takeover, if necessary.

.....My personal advice is to HOLD YOUR SHARES through this merger. Have the guts to wait it out, because the real value of your shares is not in FAMH, but in the newly combined company ATXI.
