Year 2000 Wire/Viasoft Gives Further Guidance on Third Quarter Results

PHOENIX--(BUSINESS WIRE)--April 5, 1998--Viasoft, Inc.
(NASDAQ/NMS:VIAS) today announced preliminary results for the quarter
ended March 31, 1998 based on information available to date. The
Company estimates that total revenue will be in the range of $25.5
million to $26.5 million, consisting of the following components:
license revenue between $14.0 and $14.5 million, services revenue
between $4.6 million and $4.8 million and maintenance revenue between
$6.9 million and $7.2 million. Earnings per share, excluding a
write-off of purchased in-process research and development in
connection with certain transactions discussed below, is estimated to
be in the range of $0.12 to $0.14 per share.
As previously reported, the Company will take a charge of
approximately $10.5 million in the quarter ended March 31, 1998 in
connection with the acquisition of EraSoft Technologies, Inc. and
various technologies under development pursuant to licensing
arrangements entered into during the third quarter.

Some of the highlights and issues noted in the preliminary
financial information for the third quarter follow:

-- Sales of OnMark 2000 products, the Company's new product line
addressing year 2000 issues on the desktop, were a substantial
component of domestic license revenue. Management was pleased
with the acceptance of these new products in the marketplace and
the value that penetration of the desktop market will make to the
long term strategy of the Company.

-- International revenue was lower than expected, particularly in
the United Kingdom.

-- Services revenue, estimated to be in the range of $4.6 million to
$4.8 million for the quarter, will be up sequentially from second
quarter results of $4.3 million. Service margins are estimated to
be in the range of 11% to 13%.

announce its final third quarter results April 16, 1998.
