I think it's unlikely that the delay is due to the deal being "poorly written". I don't know why you would assume that. It seems to me it is more likely that the size of the deal - vending a multi-billion dollar resource into the company - is the reason for a lengthy due-diligence. Assuming, of course, that it's not just bureaucratic bungling and that the DD people at the VSE have actually started looking at it.
