Hi Michael....

Thanks for an informative post from a *professional* that has had Board experience.

I hope the thread participants and "lurkers" are noting that it just isn't me that is upset with what is happening "at the top" of TFS. Despite the fact that the shareholders *pay* for all of the Board perquisites and direct compensation you have noted, it is clear that we get short shrift from *everyone* when it comes to doing those things necessary to maximize shareholder value.

There will be plenty of time to address this problem for the 1999 Board meeting.

But, we should all make a concerted effort to vote our own shares in a way that will be perceived as a *protest* now, in order to send them a message of our dissatisfaction with the "Same, ol', same ol'."

I feel you are way off base in your evaluation of the board compensation. Look at it from another point of view. They recieve $15K retainer per year 2/3 of this is stock. The cash portion (1/3) isn't even enough to cover the taxes on the stock portion (but it is close). If they attend a meeting they recieve $1250 or as you stated $5,000 per year.

On the other hand if they are rubber stamping Buchannan's proposals then they are overpaid. Have you ever attended a TFS Board meeting? If not, you are being too presumptious about the level of discussion that goes on there.

The job of the board is to represent the shareholders. It doesn't matter if they are from a VC or from the public the job is the same.

I do not personally like Mr. Buchanan's manner of dealing with shareholders but your spiel about director compensation is not accurate. In fact they may have a lackluster board because the compensation is not enouggh. I personally liek the board to compensated mostly in stock options (cost the company nothing cash wise, and they are a long term incentive to get shareholder value).

You might want to review the prices Mcgillravy (sorry for the spelling) paid...my recollection is $2.00 or $3.00 for size. I dont believe he has made more than one other small open market purchase but I could be wrong.
