Alex, I do not know the answers to your very good q's. That is why I have asked SteveG to weigh in. He's very smart and all over issues like these. The only problem is that he no longer owns the stock, so I hope he responds.

From the press release:

<<CVUS filed a Form 12b-25 with the SEC on April 1, 1998, allowing a 15-day extension for filing Form 10-K. The extension will allow the Company to include detailed information on the new financing agreements within the 10-K. The company believes this will be considered a ''timely filed'' 10-K for all SEC purposes. >>

Alex, you are correct that ordinarily this financing would be covered by an 8K and should include answers to most or all of your questions. From the FreeEdgar site:

<<This is the "current report" that is used to report the occurrence of any material events or corporate changes which are of importance to investors or security holders and previously have not been reported by the registrant. It provides more current information on certain specified events than would Forms 10-Q or 10-K.>>

It appears, however, based on the press release that CVUS is going to include the financing details in the 10K. The more normal course of events would have been to timely release the 10K prior to March 31st and issue an 8K this week or next regarding the financing. This leads to the point that I have been making for some time that they obviously wanted to get the financing press release out before the 10K. If this is the good news then the 10K should really be interesting.
