Today I spoke to Eugene Lang. The mystery man of the most recent proxy...

Mr Lang was kind enough to return my call(kind of amazing considering I did tell his assistant I was a Stockbroker<G>). Mr Lang indicated that he had in fact sold all of the shares that were held corporately by the assorted "REFAC" entities. He indicated that he made the decision because he did not want his business to become a holding company. He indicated he continued to hold 150,000 shares with virtually a zero cost basis and therefore did not plan to sell them. He also gave me some interesting insights into "the board" of TFS, a position he once held...

IMO this solves two mysteries. first we now know who the seller was at year end...second MCD was right this guy did not know he had to file...nor did he seem to care.

I am still investigating the "expatriate". I was hoping for some insights into S.E.C. jurisdiction...I will report back in the next couple days.
