Roger,

I didn't say there was an "error" in the proxy; all I said was that there was one not very well worded phrase. All the actual numbers for outstanding shares mentioned in the proxy for each plan are consistent with the 5 million outstanding figure.

<<I think the difference is that agreements/contracts are already in effect which obligates CTXS to issue the additional options up to the 16 million number, the additional options to reach the 16 million number are an obligation of the company.>>

And to whom pray are these mythical agreements with? They certainly aren't with any of the top executives, as this would have to be specifically disclosed in the proxy. To think they suddenly decided to award 11 million options to other employees between the date of the 10-K and the proxy date is just crazy. Any such agreements would certainly be a disclosure item in the rest of the proxy.

You seem to be deliberately misinterpreting one badly worded phrase and ignoring all the hard evidence in both the proxy and the 10-k that there are nowhere near 16 million options outstanding or somehow promised. (I have never ever seen a company make a binding contract to award an option and treat that option as anything other than outstanding.)

There is no need to amend either the 10-K or the proxy. All that has to be amended is what I am beginning to feel is bordering on deliberate misinformation on your part. Please don't let your short position distort your view of reality.
