Thursday April 9, 4:27 pm Eastern Time Atrix Intl. Signs Letter of Intent to Negotiate Acquisition of Firamada ATRIX INTL. INC. Signs Letter of Intent With Firamada Inc. to Negotiate Acquisition Apr. 8, 1998, Atrix International Inc. (Nasdaq:ATXI - news) and Firamada Inc. (OTC BB:FAMH - news) announced that they signed a letter of intent calling for the companies to negotiate in good faith and work towards the preparation and execution of a definitive agreement for the acquisition of FAMH by ATXI via an exchange of stock. Following the merger, ATXI's board would be reconstituted in a manner satisfactory to both parties, with the understanding that designees of FAMH would constitute a majority of the directors. Under the letter of intent, the two companies have until April 30 to reach a definitive agreement. The companies noted that the mutually agreed to terms also state that the agreement is non-binding and non-exclusive.
