I agree...do you know when the .9165 shares for each Conseco is effective? Someone posted that it
was as of the close on 4/6, which would value the merger @$52/sh of GNT....Then I see Conseco
drop, the value of the merger drop, and my shares of GNT not rise to the takeover amount....I too am
confused....


I am confused too. I thought that this was just a share swap, ie, Conseco is issuing .9165 shares for every GNT share. But the "option to buy" 26.7 million shares of GNT for 52.xx confused me.

Does someone have the straight story? Can someone call investor relations at GNT or CNC to find out and post it?

The announcement of the acquisition was after the close of the stock mkt on 4/6. Anticipated closing is in the fall, according to a WSJ on 4/7, I believe. Because the acquisition will be in the form of a stock swap, the VALUE of the acquisition to you will be at .9165 of whatever the price of Conseco is at the time of the swap - which you don't realize, of course, until you sell (GNT if before the acquisition, or Conseco if after the acquisition).

Without any other data, I'm forced to think that GNT share price being currently less than .91 of Conseco is due only to the time factor between announcement and consummation of the deal & the risk of it not occurring...
