That company is SAP and Pandesic is the name of the joint venture.

It is off to a slow start and last week the SAP guy who was president got the BOOT and an Intel guy replaced him.

Pandesic LLC Refocuses on U.S. Market

New Management Structure Announced

SUNNYVALE, Calif.--(BUSINESS WIRE)--April 3, 1998--Pandesic LLC, the Internet
company from Intel and SAP, today announced that the management of the company will
be consolidated under Harold Hughes, chairman of the board of Pandesic LLC , as he
takes over day-to-day responsibilities for the company.

Hughes will refocus the organization to leverage the broad market awareness of
Pandesic LLC in the United States in order to build its North American customer base of
small to midsize companies and increase its U.S. market penetration.

Due to this redirection, Bryan Plug, CEO and president, is resigning and will continue
with Pandesic LLC through May 31. Plug is considering new opportunities including
returning to SAP in a senior management capacity.

The short-term shift in strategy will enable Pandesic LLC to focus its efforts as a start-up
on the U.S. market, strengthen its channel, leverage ''early-adopter'' customer feedback
to evolve the Pandesic(TM) solution, and capitalize on the fastest growing e-business
market in the world. As a result of the strategy shift, Pandesic LLC's previously
announced plans to open offices in Europe in May have now been delayed until late
1998 or early 1999. However, Pandesic LLC remains committed to expanding
international capabilities in the Pandesic solution by the end of this year to enable its
U.S. customers to conduct business over the Internet worldwide.

''Market analyst findings and our recent experience have shown that even though the
U.S. market is leading the world in its use of the Internet, U.S. companies are only just
now beginning to capitalize on the vast opportunities that are available for transacting
